Terms of Service

By creating an account or using the Walk Tools platform (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and references to "you" include both you individually and that organization. If you do not agree to these Terms, do not use the Service.

Walk Tools provides a cloud-based field inspection and site walk management platform that enables users to capture notes, photos, issues, and asset data in the field and generate structured reports. The Service is available via web browser and mobile applications. Features vary by subscription plan.

You must provide accurate and complete information when registering. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at security@walktools.com if you suspect unauthorized access.

You must be at least 18 years old to create an account. Accounts may not be shared between individuals; each user must have their own login.

You agree not to use the Service to:

• Violate any applicable law or regulation.
• Upload content that infringes intellectual property rights, contains malware, or is otherwise unlawful.
• Attempt to gain unauthorized access to any part of the Service or its underlying infrastructure.
• Reverse-engineer, decompile, or attempt to extract source code.
• Scrape, crawl, or use automated means to access the Service without our written permission.
• Resell or sublicense access to the Service to third parties without a written agreement with Walk Tools.

We reserve the right to suspend or terminate accounts that violate this section without notice.

Your content. You retain full ownership of all walk data, photos, notes, reports, and other content you upload or create through the Service ("Customer Data"). You grant Walk Tools a limited, non-exclusive license to host, process, and display your Customer Data solely to provide the Service.

Our platform. Walk Tools retains all rights in the Service, including its software, design, features, and trademarks. Nothing in these Terms transfers ownership of any Walk Tools intellectual property to you.

Paid subscriptions are billed in advance on a monthly or annual cycle depending on the plan you select. All prices are in USD and exclusive of applicable taxes unless otherwise stated.

Subscription fees are non-refundable except as required by applicable law or as described in our cancellation policy. We will provide at least 30 days notice before increasing prices on existing subscriptions, giving you the opportunity to cancel before the new rate takes effect.

If payment fails, we will notify you and attempt to retry the charge. If payment is not resolved within 14 days, we may suspend access to the Service.

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you retain access until then. After cancellation, your data is retained for 90 days, during which you may export it. After 90 days, it is permanently deleted.

Walk Tools may suspend or terminate your account for violation of these Terms, non-payment, or if we reasonably believe continued operation poses a legal or security risk. In the event of termination by Walk Tools without cause, we will provide a pro-rated refund of prepaid fees.

We target 99.9% monthly uptime for the core platform. Planned maintenance windows are communicated at least 48 hours in advance. We are not liable for downtime caused by factors outside our reasonable control, including internet outages, third-party service failures, or force majeure events.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WALK TOOLS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WALK TOOLS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THE SERVICE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID TO WALK TOOLS IN THE 12 MONTHS PRECEDING THE CLAIM.

You agree to indemnify, defend, and hold harmless Walk Tools and its officers, directors, employees, and agents from any claims, damages, or expenses (including reasonable attorney fees) arising from your use of the Service, your Customer Data, or your violation of these Terms.

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any dispute arising from these Terms or the Service will be resolved through binding arbitration under the rules of the American Arbitration Association, except that either party may seek injunctive relief in court to prevent irreparable harm. You waive the right to participate in class action lawsuits.

We may modify these Terms from time to time. For material changes, we will provide at least 14 days notice via email or in-app notification. Continued use of the Service after the effective date of changes constitutes your acceptance of the revised Terms.
